THE SITE

The Site offers a lead generation service that matches requests from potential care providers ("USERS") with families ("USERS") who offer services that may be able to meet Users' needs. CarePros is not involved in the actual transaction between USERS and does not promote or recommend any particular caregiver. Consequently, CarePros cannot ensure that a transaction will occur or if it does occur that it will satisfy the needs of USERS. The Site acts as the venue for USERS to contact other USERS, and the information USERS provide to us will be sent to other USERS via our network.

All charges associated with this service are incurred by Web site USERS. All rights relating to the Site, including ownership as to content, materials, trademarks and other intellectual property contained in the Site, are the exclusive property of CarePros and USERS may not copy, reproduce, publish, disassemble, de-compile, modify or make any other use of the Site or content contained therein other than as expressly provided hereunder or as may be expressly permitted by CarePros in writing. The Site may contain links to other web sites owned or operated by third parties. CarePros has no responsibility, obligation or liability with respect to such third party sites and makes no warranties with respect to such sites and USERS access them at USERS risk.

CONDUCT

USERS are responsible for maintaining the accuracy and sufficiency of information supplied to the Site and agree to provide and maintain true, complete and correct information on the Site. USERS may not use the Site in violation of any applicable law, in violation of the intellectual property rights of others or to transmit harmful, threatening, obscene or other objectionable material. USERS may not allow anyone else to use your email address or access the Site using your email address. USERS agree to notify CarePros immediately of any unauthorized use of your email or any other suspected breach of security as to the Site. USERS acknowledge that CarePros screens information Users provide to the Site and may in its discretion remove any content or terminate your right to use the Site at any time for any reason. USERS authorize CarePros to provide information you post to the Site to USERS for the purpose of matching your request with the services of USERS and agree to the following User Authorization Agreement:

User Authorization Agreement

I have read and accept the attached Terms of Use and hereby authorize CarePros, or any other party operating the CarePros site, to submit and share information I have posted on the Site through an application and/or other means to any contracted USERS in accordance with these Terms of Use. USERS further acknowledge that this authorization will remain effective unless USER notifies CarePros in writing of the revocation of this Authorization Agreement at the address given in the Terms of Use. USER further acknowledges that the information provided by USER is accurate and complete.

The above authorization shall continue in effect until CarePros receives written direction from USERS to cease providing such information.

USERS understand that the information contained in the CarePros web site is intended to provide USER applicants with information to guide them as they conduct their search for another USER. CarePros does not guarantee results nor assume any liability for USERS or their backgrounds or performance. CarePros is a classified advertisement. CarePros does not verify any of the information that USERS provide. USERS understand that CarePros has no control over the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of prospective employers to offer job opportunities to candidates or the ability of the Caregiver candidates to fill job openings. CarePros is not involved in the actual transactions between prospective Families and the respective Job Seeking candidates.

PROHIBITED SITE USE

The Web site may be used only for lawful purposes by either individuals seeking employment or families seeking to employ one or more Job Seeker(s). CarePros specifically prohibits any use of the Web site, and all USERS agree not to use the Web site, for any of the following purposes:

- Posting contact information, including email addresses, telephone numbers, screen names, and other personally identifiable information in open text fields.

- Posting of any incomplete, false or inaccurate biographical information.

- Posting of any information or advertisement that may be considered as competitive to the CarePros service.

- Sending via the CarePros Web site email system any information or advertisement that may be considered as competitive to the CarePros service.

- Solicitation for services by any means, other than those offered or directly approved by CarePros, to its authorized Users or Caregivers is strictly forbidden. Under no circumstances shall the harvesting and commercial re-use of emails be allowed.

- Using any device, software or routine to interfere or attempt to interfere with the proper working of CarePros or any activity being conducted on CarePros.

- Posting, emailing or otherwise transmitting any content that is unlawful, harmful, threatening, harassing, defamatory, obscene, vulgar, invasive of another's privacy, hateful, discriminatory or otherwise objectionable.

- Disclosing to or sharing with a Person who is not an Authorized Family/Client User or an Authorized Caregiver User a password by which such non-Authorized User may gain access to any non-public area of the CarePros Web site.

-Aggregating, copying or duplicating in any manner any of the Web Site Content or any other violation of copyright and/or intellectual property laws.

- Framing of or linking to any of the Web Site Content.

CarePros reserves the right to permanently revoke the membership and/or site use privileges of any User determined by CarePros to be in violation of any of the above-prohibited uses. I acknowledge and agree that I am solely responsible for the form, content and accuracy of any resume or material placed by myself on the Web site. Users and Caregivers are solely responsible for their postings on the Web site.

PRIVACY

CarePros will only use Your Information in accordance with our Privacy Policy and will notify Caregivers who use Your information and any other organizations to whom You authorize release of your information to use it in accordance with our Privacy Policy. RELEASE

You release CarePros (and its officers, directors, agents, and employees) from claims, demands, and damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any dispute USERS may have with any other User or Caregiver.

INDEMNITY

You agree to indemnify and hold CarePros, its parents, subsidiaries, affiliates, officers, employees and partners, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising from Your use of the Site, Your purchase or use of products or services offered by the Caregivers, the violation of this Agreement by You, or the infringement by You, or any third party using your account, of any intellectual property or other right of any person or entity.

WARRANTY DISCLAIMER

You use the Site at your own risk. THE SITE IS PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS. NEITHER CarePros NOR ANY OF ITS EMPLOYEES, OFFICERS OR DIRECTORS, MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SITE, SERVICES PROVIDED BY THE SITE OR ANY CONTENT OR PRODUCTS, AND HEREBY DISCLAIMS ANY IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT USE OF THE INTERNET INVOLVES INHERENT RISKS BEYOND THE CONTROL OF CarePros AND CarePros CANNOT ASSURE THE INTEGRITY, PRIVACY OR RESTRICTED ACCESS TO INFORMATION WHICH YOU POST TO THE SITE. Some states do not allow the disclaimer of implied warranties, so the above limitations may not apply to You.

LIMITATION OF LIABILITY

IN NO EVENT SHALL CarePros OR ITS EMPLOYEES, OFFICERS OR DIRECTORS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE USE OR THE INABILITY TO USE THE SITE OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). Caregiver Pros LLC's LIABILITY, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE AMOUNT OF FEES YOU PAY CarePros IN THE TWELVE MONTHS PRIOR TO THE DATE THE CAUSE OF ACTION AROSE. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation and exclusions may not apply to You.

GENERAL

This agreement constitutes the entire agreements between You and CarePros. The rights and obligations of the parties under this Agreement shall be governed in all respects by the laws of The State of California without regard to its conflict of law provisions and all disputes shall be subject to the exclusive jurisdiction of the courts of The State of California or the federal courts sitting in The State of California and You hereby consent to such exclusive and personal jurisdiction and venue. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by You without CarePros's prior written consent. CarePros may assign this Agreement in whole or in part. No agency, partnership, joint venture, or employment is created as a result of this Agreement and You do not have any authority of any kind to bind Caregiver Pros LLC in any respect whatsoever. Headings are for convenience only and have no legal or contractual effect. All notices under this Agreement shall be in writing and shall be deemed to have been duly given when receipt is electronically confirmed, if transmitted by facsimile or email or upon receipt, if sent by certified or registered mail, return receipt requested. CarePros and the content contained therein is copyrighted by CarePros and the marks and designs of the Site are trademarks or service marks of CarePros or its clients. All rights reserved.
